4. Intellectual Property

Upon full payment of all fees associated with a completed project, the intellectual property rights and code ownership for custom deliverables are transferred to the client, unless otherwise agreed in writing. Pre-existing frameworks, proprietary libraries, and generic utilities remain the property of ZYVO DIGITAL LTD or their respective open-source licensors.

5. Client Responsibilities

Clients agree to provide accurate project specifications, timely feedback, and necessary credentials/assets required for the completion of software development tasks.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ZYVO DIGITAL LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from the use or inability to use our deliverables.

7. Termination

Either party may terminate an ongoing service agreement by written notice if the other party breaches any material term of these Terms and fails to cure such breach within 14 business days.

8. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
